Terms of Service

1. The Service

Karma Compass helps boards run their work: the organization profile, the board roster, meetings, agendas, board packets, RSVPs, votes, minutes, decisions and follow-up, with AI assistance. You may use it only for lawful purposes and in line with these Terms.

2. Accounts and organizations

• You sign in with a code sent to your email. Keep access to that inbox secure; anyone who can read it can sign in as you.
• The person who creates an organization, and anyone they make an administrator, manages its members, roster and settings.
• When you add people to a roster or invite them, you confirm your organization may share their contact details with us and have the Service email them.
• You are responsible for what happens under your account and your organization’s account. Tell us promptly at info@karmahq.xyz if you suspect unauthorized use.

3. Your content

You and your organization keep ownership of everything you put into the Service, such as documents, minutes, votes, messages and profile information (“Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Content only as needed to provide, secure and improve the Service, including sending it to our service providers, such as AI model providers, to produce the results you ask for.

You are responsible for your Content and confirm you have the right to provide it, and that it is not unlawful, misleading or infringing.

4. AI features

The Service uses AI to draft agendas, minutes and summaries, research your organization and answer questions. AI output can be incomplete or wrong. Drafts are proposals for a person to review, and you are responsible for checking them before you approve, publish or rely on them. Karma Compass does not provide legal, accounting, tax or fundraising advice, and it does not replace your board’s own judgment or its duties.

5. Plans and billing

• Karma Compass offers a free plan and paid plans. What each plan includes is described on our website and may change over time.
• Paid plans are billed in advance, monthly or yearly, through our payment provider, and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Fees are non-refundable except where the law requires otherwise. Prices exclude taxes unless stated.

6. Acceptable use

You agree not to:

• break the law or infringe anyone’s rights;
• send spam or use the Service to email people without a legitimate reason;
• access another organization’s data, probe or disrupt the Service, or get around its security or plan limits; or
• copy, resell or reverse engineer the Service, except where the law allows.

7. Suspension and ending

You may stop using the Service at any time. We may suspend or end access if these Terms are broken or to protect the Service or its users, and will tell you when we reasonably can.

8. No warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties of any kind, including about the accuracy, completeness or reliability of any content or AI output, or that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law, Karma and its affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, profits or opportunities, arising from your use of or inability to use the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim and US $100.

10. Changes to these Terms

We may update these Terms. We will post changes here with a new effective date and, if they are significant, tell you by email or in the Service. Continuing to use the Service after changes take effect means you accept them.

11. Privacy

Our Privacy Policy explains how we collect and use information, and forms part of these Terms.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
